We are experienced in setting up various business vehicles used in Rwanda. We have significant experience in company formation in all zones in the Rwanda. In addition to entity registration, we assist clients in procuring all relevant approvals and consents to enable them to conduct business in Rwanda. This includes assisting with immigration issues, visas, work permits and other approvals, free zone authority approvals and sector-specific authorizations. We also advise on the corporate structuring of “onshore” entities and assist foreign clients in structuring arrangements with shareholders in order to ensure compliance with the mandatory local ownership obligations, whilst maintaining the appropriate balance between the rights of the local and foreign shareholders. We assist clients in drafting and negotiating articles of association and, where appropriate, shareholders agreements and other ancillary documents for the investor. We advise clients on their on-going corporate compliance obligations including regular filing obligations, renewal of trade licenses and other sector-specific authorizations. We also provide registered agent and company secretarial services and advise on directors’ duties and directors’ liabilities.
